JUTHSTUDIO.COM TERMS AND CONDITIONS OF USE

These Terms and Conditions (“Terms”) govern your access to and use of the JuthStudio.com website (the “Platform”), including any content, functionality, and services offered on or through the Platform.

The Platform is owned and operated by Independent Muffin Limited Partnership, a registered entity under the laws of the Kingdom of Thailand (referred to herein as "Independent Muffin," "We," "Us," or "Our").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you must not use the Platform.

1. DEFINITIONS

Platform: JuthStudio.com, an online marketplace for the sale and purchase of art, collectibles, and toys.
Independent Muffin/We/Us/Our: Independent Muffin Limited Partnership, the operator of the Platform.
User/You: Any person or entity accessing or using the Platform, including Buyers and Sellers.
Buyer: A User who purchases Products on the Platform.
Seller/Artist: A User who lists and sells Products on the Platform.
Products: Original artwork, limited edition prints, collectible toys, and other related merchandise listed for sale on the Platform.
Thai Consumer Protection Laws: All relevant legislation, regulations, and guidelines related to consumer protection in the Kingdom of Thailand.

2. GOVERNING LAW AND JURISDICTION

2.1 Governing Law: These Terms and Conditions and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.

2.2 Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the Courts of Thailand.

3. THE JUTHSTUDIO MARKETPLACE

3.1 Marketplace Role: JuthStudio.com functions exclusively as an online venue and marketplace connecting Buyers and independent Sellers/Artists. Independent Muffin does not typically own the Products listed on the Platform.

3.2 Contracts of Sale: The contract of sale for most Products is entered into directly between the Buyer and the individual Seller/Artist. Independent Muffin is not a party to this contract and assumes no responsibility arising out of or in connection with it, except as required by Thai Consumer Protection Laws regarding the provision of the Platform service itself.

3.3 Seller Responsibility: Sellers are solely responsible for the accuracy of their Product listings, the quality and condition of the Products, packaging, shipping, timely delivery, and compliance with all applicable laws related to their sale.

4. USER ACCOUNTS

4.1 Registration: To purchase Products or list items for sale, you may be required to register for an account. You must provide accurate, current, and complete information during the registration process.

4.2 Account Security: You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify Independent Muffin immediately of any unauthorized use of your password or account.

4.3 Age Restriction: Users must be at least eighteen (18) years of age, or the age of legal majority in Thailand, to register for an account and make purchases.

5. PURCHASES AND PAYMENTS

5.1 Product Descriptions: We rely on Sellers to provide accurate information. While we strive to ensure descriptions are reliable, Independent Muffin does not warrant that Product descriptions or other content of the Platform is accurate, complete, reliable, current, or error-free.

5.2 Pricing and Currency: All prices are set by the Seller. All transactions will be processed in Thai Baht (THB) unless otherwise explicitly stated. You are responsible for any applicable import duties, taxes, or other customs fees.

5.3 Payment Processing: We use third-party payment processors to facilitate transactions. By making a purchase, you agree to their terms and conditions. We are not responsible for any security breaches or delays caused by these third-party processors.

6. SHIPPING AND DELIVERY

6.1 Responsibility: Shipping arrangements, costs, and delivery times are determined by the individual Seller. The Seller is generally responsible for ensuring that the Products are shipped securely and promptly.

6.2 Risk of Loss: Risk of loss and title for Products purchased from a Seller passes to you upon the Seller's delivery of the items to the shipping carrier.

7. RETURNS, REFUNDS, AND EXCHANGES

7.1 General Policy: Due to the nature of the Products (art and collectibles), the final return and refund policy is determined by the individual Seller’s policy as displayed on their listing, in compliance with Thai Consumer Protection Laws.

7.2 Defective or Misdescribed Products: If a Product is materially defective or not as described, the Buyer must notify the Seller within a reasonable period (as determined by Thai law or the Seller's specific policy, whichever is more favourable to the Buyer) and provide evidence of the defect. Independent Muffin may, at its sole discretion, assist in mediating disputes between Buyers and Sellers.

7.3 Independent Muffin Fees: Any commission or service fees paid to Independent Muffin are non-refundable unless the service itself was not provided as agreed upon.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Platform Content: All content on the Platform, including text, graphics, logos, images, software, and the compilation of such content, is the property of Independent Muffin Limited Partnership or its content suppliers and is protected by Thai and international intellectual property laws.

8.2 Seller Content: Sellers retain all intellectual property rights to the artwork and collectibles they create and sell. By listing a Product, the Seller grants Independent Muffin a limited, non-exclusive, royalty-free license to use, reproduce, display, and distribute the Product images and descriptions solely for the purpose of operating and promoting the Platform.

8.3 Infringement: If you believe that your intellectual property rights have been infringed by any content on the Platform, please notify us immediately with full details of the alleged infringement.

9. DISCLAIMER AND LIMITATION OF LIABILITY

9.1 Disclaimer of Warranties: The Platform and all Products sold through it are provided on an "as is" and "as available" basis. Independent Muffin makes no representations or warranties of any kind, express or implied, as to the operation of the Platform or the information, content, materials, or Products included on the Platform.

9.2 Limitation of Liability: To the fullest extent permitted by Thai law, Independent Muffin Limited Partnership, its directors, officers, employees, agents, or affiliates, shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Platform; (ii) any conduct or content of any third party on the Platform, including without limitation, any defamatory, offensive, or illegal conduct of other Users or Sellers; (iii) any Products obtained from the Platform; and (iv) unauthorized access, use, or alteration of your transmissions or content.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Independent Muffin Limited Partnership and its partners, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from (i) your misuse of the Platform, (ii) your violation of these Terms, (iii) your violation of any rights of a third party, or (iv) any Product you list or sell as a Seller.

11. MODIFICATIONS TO THE TERMS

Independent Muffin Limited Partnership reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
